Terms of Service

These Terms of Service ("Terms") govern your use of ubuildit.ai and the ubuildit application (the "Service"), operated by simplyIQ Inc. ("ubuildit", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. What the Service is
ubuildit lets a customer submit photos of a property and answers about the work they want done, produces an assessment of the scope and quantities from that submission, and prices that scope using the rate card the contractor has entered. The contractor reviews the result, edits it, and decides whether to send it.
2. What ubuildit is not
ubuildit is not a contractor. We do not perform, supervise, subcontract, inspect or warrant any construction, renovation, repair or improvement work. We hold no contractor license, and we are not a party to any contract, quote or agreement between a contractor and a customer.
We do not vet, endorse, license-check, insure or recommend any contractor, and we make no representation about any contractor's skill, licensing, insurance, bonding or fitness for a job. We do not set, suggest, benchmark or influence prices. Every price on a quote comes from the contractor's own price book and settings.
If you are a customer, satisfy yourself about the contractor before you engage them. Check their license and insurance, and get a written contract that complies with the home improvement laws of your state.
3. Assessments and quotes are estimates
An assessment is produced by software reading photographs. It measures against reference points in the image and against what the customer told us, and it reports a confidence on each line. It can be wrong. It can miss what a camera cannot see, including conditions behind walls, under floors or inside systems.
- A quote produced through the Service is the contractor's quote. The contractor reviews it, edits it and sends it. They are responsible for its accuracy and for honoring it.
- We do not warrant that any assessment, quantity, confidence score or price is accurate, complete or suitable for any purpose.
- A site-visit flag, and the absence of one, is informational only. It is not professional advice and it is not a determination that a property is safe or that a job can be done without an inspection.
- Nothing in the Service is engineering, architectural, structural, legal, insurance or code-compliance advice.
4. Accounts and eligibility
You must be at least 18 and able to form a binding contract. You are responsible for your account credentials and for everything done under your account. Tell us promptly at support@ubuildit.ai if you suspect unauthorized use.
A contractor account is a workspace. The person who creates it is its owner and may invite others and assign roles. The workspace owner is responsible for who has access and for what those members do.
5. Contractor responsibilities
If you use the Service to quote work, you are responsible for:
- Holding and maintaining every license, registration, bond, permit and insurance your jurisdiction requires, and complying with all building codes and regulations.
- The accuracy of your price book, rates, markup and tax settings, and for the resulting numbers.
- Reviewing every assessment before you send a quote, and for the quote once you send it.
- Deciding when a job needs a site visit, whatever the assessment says.
- Complying with consumer protection and home improvement contract law, including any requirement for a written contract, specific disclosures, or a right to cancel.
- Handling customer information lawfully. You are the controller of the job information in your workspace, and we process it for you. See the Privacy Policy.
- Collecting and remitting any applicable tax.
6. Customer responsibilities
- You must have the right to photograph and share images of the property you submit. If you are not the owner, get permission.
- Do not photograph other people without their consent, and do not include documents, screens or belongings you would not want a contractor to see.
- Give accurate answers. An assessment built on wrong information will produce a wrong quote.
- Any agreement to perform work is between you and the contractor. Read it before you sign it.
7. Your content
You keep ownership of everything you submit: photos, answers, price books and quotes. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce and process that content solely to operate and improve the Service and to provide it to you and to the other party to the job. That license ends when the content is deleted, except for backups on their ordinary retention cycle.
A contractor's price book is confidential business information. We do not publish it, disclose it to other contractors, or use it to build benchmarks, averages or market rates.
8. Billing
Contractor plans are billed per seat, in advance, monthly or annually, in US dollars, through our payment processor. Each plan includes a monthly allowance of AI assessments; once it is used up, further assessments are blocked until the next billing period or until you move to a plan with a larger allowance.
- Free trials last for the stated period. If you do not subscribe before it ends, the workspace locks and your data is retained as described in the Privacy Policy.
- Subscriptions renew automatically until canceled. Cancel at any time in your subscription settings, effective at the end of the current period.
- Fees are non-refundable except where required by law. We do not refund partial periods or unused assessments.
- Prices may change on 30 days notice, effective at your next renewal.
- Fees exclude taxes, which you are responsible for.
- Customers are never charged. The Service is free for the people requesting quotes.
9. Acceptable use
Do not use the Service to: break the law; submit content you have no right to submit; impersonate anyone; upload malware; probe, scrape or reverse engineer the Service; circumvent usage limits or access controls; resell or white-label the Service without our written agreement; or submit photographs of people, places or documents for any purpose other than quoting work on that property.
10. Intellectual property
The Service, including its software, design, brand and content, belongs to simplyIQ Inc. and its licensors. These Terms grant you a limited, revocable, non-transferable right to use the Service, and nothing more.
11. Third-party services
The Service depends on third parties including cloud hosting, an AI provider and a payment processor. Their availability and behavior are outside our control, and we are not liable for their acts or omissions. Your use of the Service is also subject to their terms where those apply.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY AS TO THE ACCURACY, RELIABILITY OR COMPLETENESS OF ANY ASSESSMENT, QUANTITY, CONFIDENCE SCORE, SITE-VISIT FLAG OR QUOTE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER SIMPLYIQ INC. NOR ITS OFFICERS, EMPLOYEES OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, COST OF COVER, OR THE COST OF REWORK OR REMEDIAL CONSTRUCTION, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE MONTH PERIOD WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THAT PERIOD, OR ONE HUNDRED US DOLLARS.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so parts of the two paragraphs above may not apply to you.
14. Indemnity
You will indemnify and hold harmless simplyIQ Inc. from any claim, loss or expense, including reasonable legal fees, arising out of your use of the Service, your content, your breach of these Terms, or, if you are a contractor, any work you quote or perform and any dispute with a customer.
15. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate an account that breaches these Terms, creates risk or legal exposure, or has gone unpaid. On termination your right to use the Service ends. Sections 2, 3, 7, 10 and 12 through 17 survive.
16. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to their jurisdiction. Nothing here prevents either party from seeking injunctive relief where appropriate.
17. Changes
We may update these Terms. We will post the updated version here and revise the "Last updated" date. If a change is material we will give notice in the Service before it takes effect, and continuing to use the Service after that means you accept the change.
